1. Acceptance of Terms
By accessing or using the Still Yum mobile application ("App") and website ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree with any part of these Terms, you may not use our Service.
These Terms apply to all visitors, users, merchants, and others who access or use the Service. By using the Service, you represent that you are at least 16 years of age and have the legal capacity to enter into a binding agreement.
2. Description of Service
Still Yum is a marketplace platform that connects consumers ("Users") with local restaurants, bakeries, grocery stores, and other food businesses ("Merchants") who offer surplus food products at discounted prices. The Service facilitates the listing, discovery, purchase, and pickup of surplus food items.
Still Yum does not itself sell food products. We act solely as an intermediary platform. The food products listed on the App are sold directly by Merchants, who are responsible for the quality, safety, and accuracy of their listings.
3. User Accounts
To use certain features of the Service, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration.
- Maintain the security and confidentiality of your login credentials.
- Accept responsibility for all activities that occur under your account.
- Notify us immediately of any unauthorized use of your account.
We reserve the right to suspend or terminate your account if any information provided is inaccurate, misleading, or in violation of these Terms.
4. Orders and Payments
When you place an order through the App, you are making an offer to purchase the item(s) from the Merchant at the listed price. The order is confirmed once payment is processed successfully.
- Prices are set by Merchants and may change without notice.
- Payment is processed securely through our third-party payment providers.
- You agree to pay the full amount for any order you confirm.
- Refunds are subject to our Refund Policy and the individual Merchant's policies.
5. Pickup Policy
After placing an order, you must pick up your items during the designated pickup window specified in the App. If you fail to pick up your order within the specified window:
- The Merchant may cancel your order without a refund.
- Repeated no-shows may result in account restrictions or termination.
6. Merchant Responsibilities
Merchants who use the Still Yum platform agree to:
- Provide accurate descriptions and images of listed food items.
- Ensure all food items meet applicable health and safety standards.
- Comply with all local, state, and federal food safety regulations.
- Honor confirmed orders and make items available during the stated pickup window.
- Maintain appropriate food handling licenses and permits.
7. Prohibited Conduct
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws.
- Impersonate any person or entity, or misrepresent your affiliation.
- Interfere with, disrupt, or place undue burden on the Service or its infrastructure.
- Attempt to gain unauthorized access to any portion of the Service.
- Use the Service to transmit spam, malware, or other harmful content.
- Resell food items purchased through the App for profit.
8. Intellectual Property
The Service and its original content, features, and functionality are owned by Still Yum and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works of any part of the Service without our express written consent.
9. Disclaimer of Warranties
The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied. Still Yum does not warrant that:
- The Service will be uninterrupted, secure, or error-free.
- The results obtained from the Service will be accurate or reliable.
- Any food products purchased through the Service will meet your expectations.
10. Limitation of Liability
To the maximum extent permitted by law, Still Yum and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service, including but not limited to foodborne illness, allergic reactions, or any harm resulting from food consumed that was purchased through the App.
11. Indemnification
You agree to indemnify and hold harmless Still Yum and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising out of or related to your use of the Service, violation of these Terms, or violation of any third-party rights.
12. Changes to Terms
We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to the new terms taking effect. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Still Yum operates, without regard to conflict of law principles.
